Sun Valley Investments AG With Improved Offer to Purchase of Shares of Mineros

07:37 AM EST, 03/04/2025 (MT Newswires) -- Sun Valley Investments AG announced Tuesday that it is improving the terms of the public offer to purchase common shares of Mineros S.A. ( MNSAF ) through the facilities of the Colombia Securities Exchange.

Under the improved offer, a statement noted Sun Valley will offer a price per common share equal to 5,500 Colombian pesos, equivalent to approximately C$1.92, payable in cash, which represents an increase of 900 COP per common share, equivalent to approximately C$0.34 per common share, compared to the initial price offered. In addition, Sun Valley may acquire a minimum of 1 common share and a maximum of 77,931,725 common shares under the improved offer, which represents approximately 26% of the issued and outstanding common shares as of December 10, 2024 and is a 17% increase in the maximum number of issued and outstanding common shares that Sun Valley can acquire under the improved offer as compared to the initial one.

The total aggregate consideration to be paid by Sun Valley for common shares pursuant to the improved offer will be a minimum of COP 5,500, equivalent to approximately C$1.92, and a maximum of COP 428,624,487,500, equivalent to approximately C$149,628,912.

MSA was down $0.03 or 1.5% at $2 yesterday.
