TechCreate Group Ltd. Announces Pricing of Initial Public Offering

SINGAPORE--(BUSINESS WIRE)--

TechCreate Group Ltd. ( TCGL ) (“TechCreate” or the “Company”), a technology consultancy and advanced software solutions provider headquartered in Singapore specializing in payment solutions, cybersecurity, and digital services, today announced the pricing of its firm commitment initial public offering (the “Offering”) of an aggregate 2,550,000 class A ordinary shares par value US$0.0002 per share at a price of $4.00 per share to the public (the “Offering Price”), for a total of US$10,200,000 of gross proceeds to the Company, before deducting underwriting discounts and other offering expenses.

The Company has granted the underwriter a 45-day option to purchase an additional 382,500 class A ordinary shares at the Offering Price less the underwriting discounts, solely to cover over-allotments, if any, representing 15% of the class A ordinary shares sold in the Offering (excluding class A ordinary shares subject to this over-allotment option).

The class A ordinary shares are expected to begin trading on the NYSE American under the ticker symbol “TCGL” on October 15, 2025. The Offering is expected to close on or about October 16, 2025, subject to the satisfaction of customary closing conditions.

Cathay Securities, Inc. (“Cathay Securities”), a full-service broker/dealer, is acting as the lead book-running manager, and Revere Securities LLC (“Revere Securities”) is acting as a co-underwriter, for the Offering. Sidley Austin LLP is acting as U.S. legal counsel to the Company, and Ortoli Rosenstadt LLP is acting as U.S. securities counsel to Cathay Securities and Revere Securities, in connection with the Offering.

The Offering is being conducted pursuant to the Company’s registration statement on Form F-1 , as amended, previously filed with, and subsequently declared effective by the U.S. Securities and Exchange Commission (“SEC”) on September 30, 2025.
