Top Midday Stories: Kimberly-Clark to Acquire Kenvue for $48.7 Billion; Amazon Signs $38 Billion Deal With OpenAI

12:06 PM EST, 11/03/2025 (MT Newswires) -- The Dow Jones Industrial Average was lower in late-morning trading Monday, while the S&P 500 and the Nasdaq Composite were higher.

In company news, Kimberly-Clark (KMB) said Monday it will acquire Kenvue (KVUE) in a cash-and-stock deal valued at about $48.7 billion on an enterprise basis. Kenvue stockholders will receive $3.50 in cash plus 0.14625 of a KMB share for each Kenvue share they own, the companies said. The deal is expected to close in the second half of 2026. Kimberly-Clark shares were down 12% around midday, while Kenvue shares were up 17%.

Amazon.com (AMZN) said Monday its Amazon Web Services has reached a $38 billion agreement through which OpenAI can access hundreds of thousands of Nvidia (NVDA) GPUs. Amazon shares were up 4.6%, while Nvidia was up 2.8%.

Eaton (ETN) said it has agreed to acquire Boyd Corp.'s Boyd Thermal business from Goldman Sachs' (GS) asset management unit for $9.50 billion. The deal is expected to close in Q2 2026. Eaton shares were up 0.7%, while Goldman was up 0.6%.

Pfizer (PFE) said Monday it filed a second lawsuit against Metsera (MTSR), its controlling shareholders and Novo Nordisk (NVO) in a federal court. In the suit, which was filed in the US District Court for the District of Delaware, Pfizer alleges that Novo Nordisk's recent proposal to acquire Metsera "constitutes an anticompetitive action by Novo Nordisk to protect its dominant market position in GLP-1s by capturing and killing a nascent American competitor before its gains the support of Pfizer." Pfizer shares were down 0.8%, while Metsera and Novo Nordisk shares were down 2.7% and 1.7%, respectively.
