09:56 AM EDT, 03/25/2026 (MT Newswires) -- Tower Semiconductor ( TSEM ) has entered into a framework agreement to acquire full ownership of Japan-based Tower Partners Semiconductor's 12-inch fab and foundry business, according to a Wednesday statement from Tower Semiconductor ( TSEM ) and Nuvoton Technology.
Nuvoton subsidiary Nuvoton Technology Corporation Japan will pay Tower Semiconductor ( TSEM ) $25 million for Tower Partners' 8-inch fab and foundry business, with Tower Partners becoming its wholly owned subsidiary upon the closing of the transaction, the statement said.
Tower Semiconductor ( TSEM ) and Nuvoton Technology Corporation Japan hold 51% and 49% stakes, respectively, in Tower Partners Semiconductor, which provides wafer processing and assembly services.
The transaction is expected to close on April 1, according to the statement.
