12:28 PM EDT, 05/06/2024 (MT Newswires) -- Trump Media & Technology Group ( DJT ) said Monday it has hired Semple, Marchal & Cooper as its auditor to replace BF Borgers.

Trump Media's ( DJT ) decision came after the US Securities and Exchange Commission said Friday it charged BF Borgers and owner Benjamin F. Borgers for failing to comply with Public Company Accounting Oversight Board standards in its audits and reviews that were incorporated in more than 1,500 SEC filings from January 2021 through June 2023.

In a filing with the SEC on Monday, Trump Media ( DJT ) said BF Borgers' audit reports on the company's 2022 and 2023 consolidated financial statements "did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to audit scope or accounting principles."

Trump Media ( DJT ), which is majority-owned by Donald Trump, also said it did not have any disagreements with BF Borgers in those years on any accounting principles or practices, financial statement disclosure, or auditing scope or procedure, nor were there any "reportable events."

Instead of obtaining a letter from BF Borgers saying it agrees with the statements it made in Monday's filing, Trump Media ( DJT ) said it was advised by that the SEC BF Borgers is not allowed to appear or practice before the regulator.

Neither BF Borgers nor Semple, Marchal & Cooper immediately responded to MT Newswires' requests for comment.

Trump Media ( DJT ) shares were advancing 1.9% in recent trading.
