09:55 AM EDT, 04/15/2024 (MT Newswires) -- Trump Media & Technology Group ( DJT ) filed a mixed-securities shelf registration statement Monday with the US Securities and Exchange Commission.
The offering consists of warrants originally issued in relation to TMTG's merger with Digital World Acquisition. The 'Selling Securityholders will determine how and when they will dispose of the shares of Common Stock registered for resale under this prospectus.'
The company said it will not receive any proceeds of the sales of Common Stock or Warrants, except for amounts received on exercise of warrants for cash. The company expects to receive about $247.1 million from the exercise of the warrants, it said. The company plans to use proceeds from the exercise of warrants to execute its business plan, and for general corporate use.
Trump Media ( DJT ) said it is also registering the resale of 146,108,680 shares by selling security holders consisting of 1,133,484 Placement Shares; up to 14,316,050 Founder and Anchor Investor Shares; 744,020 Conversion Shares; 965,125 DWAC Compensation Shares; 690,000 TMTG Compensation Shares; 6,250,000 Alternative Financing Shares; 7,116,251 Private Warrant Shares; 143,750 Representative Shares; 114,750,000 President Trump Shares.
And the company registered 14,375,000 shares of Common Stock issuable on exercise of Public Warrants previously registered. And Selling Warrant Holders registered up to 4,061,251 Warrants, consisting of 566,742 in Placement Warrants, up to 369,509 Convertible Note Post-Initial Public Offer Warrants; up to 3,125,000 Alternative Financing Notes Post-IPO Warrants.
Shares of the company were down nearly 15% in recent Monday trading.
