UL Solutions Prices Secondary Offering at $78 Per Share

03:48 AM EST, 12/04/2025 (MT Newswires) -- UL Solutions ( ULS ) said late Wednesday it has priced its underwritten public offering of 12.5 million shares at $78 per share.

The company said the offering consists entirely of secondary shares to be sold by UL Standards & Engagement.

Underwriters have a 30-day option to purchase up to 1.9 million additional shares from the selling stockholder at the offering price, excluding underwriting discounts and commissions, the company added.

UL Solutions ( ULS ) said it is not offering any class A shares in the transaction and will not receive proceeds from the sale.

The offering is expected to close on Friday, it added.
