UnitedHealth Group Shareholder Proposes Splitting Board Chair, CEO Roles

11:25 AM EDT, 10/03/2025 (MT Newswires) -- UnitedHealth Group ( UNH ) shareholder, the Accountability Board, called for the company to separate the roles of board chair and chief executive officer.

"UnitedHealth ( UNH ) shareholders need more, not less, independent oversight during this difficult time," Matt Prescott, Accountability Board president, said Friday in an email to MT Newswires. "With all the challenges the company is going through, we think the need for an independent Chair has become painfully clear."

Stephen Hemsley was appointed as UnitedHealth's ( UNH ) CEO in May, in addition to his role as chairman of the board.

A proposal filed by the Accountability Board, if approved by shareholders, would amend bylaws to require an independent board chair, Bloomberg reported Friday.

UnitedHealth ( UNH ) did not immediately respond to a request for comment from MT Newswires.
