Update: Autodesk Will Not File Annual Report on Time -- Shares Decline

Autodesk ( ADSK ) shares fell nearly 5% in recent trading on Wednesday a day after the company said it will not be able to file annual report on form 10-K for the year ended Jan. 31 on time due to an ongoing internal investigation.

For this reason, the company expects to get a noncompliance notice from Nasdaq. The notification won't have an immediate effect on the listing or trading of its shares, it said. Autodesk ( ADSK ) will have 60 days to file a plan of compliance, and it plans to take steps to regain compliance.

The previously disclosed internal probe is being conducted by the board's audit committee into the company's free cash flow and non-GAAP operating margin practices.

Any of the matters under investigation will not have an effect on previously issued financial statements or the earnings release on Feb. 29.
