Keysight Technologies Inc ( KEYS ) said Monday that it has entered into an agreement to sell Spirent's high-speed ethernet and network security business lines to VIAVI Solutions ( VIAV ) .

Under the terms of the deal, VIAVI will pay Keysight ( KEYS ) $410 million in bash cash plus an additional $15 million in contingent cash at closing, VIAVI said in a separate release.

VIAVI added that the acquisition is expected to add about $180 million to its revenue in the first 12 months after closing and expected to be accretive to EPS 12 months after closing, the company said.

The sale is subject to the completion of Keysight's ( KEYS ) acquisition of Spirent, Keysight ( KEYS ) said.

The company said it expects the sale to be completed shortly after its acquisition becomes effective.

Keysight ( KEYS ) said it is working towards the scheme becoming effective during the first half of its current fiscal year. VIAVI said it expects the deal to close in Q2.
