Update: Nebius Launches $1 Billion Offering; Shares Fall Pre-Bell

09:29 AM EDT, 09/10/2025 (MT Newswires) -- (Updates with convertible senior notes offering and latest pre-bell movement in the third and fourth paragraphs.)

Nebius ( NBIS ) said Wednesday it has commenced an underwritten public offering of $1 billion of its class A ordinary shares.

The company said it also plans to grant the underwriters a 30-day option to buy up to an extra $150 million of class A ordinary shares at the public offering price, minus underwriting discounts and commissions.

Nebius ( NBIS ) also said it intends to offer $2 billion of convertible senior notes in two series: $1 billion due in 2030 and $1 billion due in 2032.

Shares were down 4.7% in recent premarket activity.
