Update: WNS Agrees to Be Acquired by Capgemini for $3.3 Billion; Shares Rise 14%

WNS (WNS) shares were up 14% in early Monday trading after the company agreed to be acquired by French technology and consultancy firm Capgemini for about $3.3 billion, excluding debt.

Under the terms of the deal, Capgemini will pay $76.50 per WNS share, reflecting a 17% premium to the company's closing share price on July 3.

The transaction, which requires approval from the Royal Court of Jersey, regulators and WNS' shareholders, is expected to be completed by the end of 2025.

Capgemini estimates the acquisition to be accretive to normalized EPS by 4% in 2026 before synergies and 7% post synergies in the subsequent year.
