08:44 AM EST, 11/26/2025 (MT Newswires) -- Upexi ( UPXI ) said Wednesday it priced an offering of 3.3 million common shares and warrants to purchase up to another 3.3 million shares at a combined price of $3.04 per share in a private placement offering.

The warrants will have an exercise price of $4, will be immediately exercisable, and will expire 48 months from issuance, Upexi ( UPXI ) said.

The digital asset treasury company said it expects offering gross proceeds of $10 million and up to an additional $13 million from the cash exercise of the warrants, and that it intends to use proceeds towards its Solana maximum return strategy and working capital.

The offering is slated to close on Monday, Upexi ( UPXI ) said.
