USA Rare Earth Acquires Less Common Metals in Cash and Stock Deal

06:39 AM EDT, 09/29/2025 (MT Newswires) -- USA Rare Earth ( USAR ) said Monday it entered into a definitive agreement to acquire UK-based Less Common Metals for $100 million in cash and 6.74 million shares of its stock.

Less Common Metals is a producer of both light and heavy rare earth permanent magnet metals and alloys, and offers an established supply chain of raw materials outside of China.

The acquisition secures access to high-quality rare earth metals and strip cast alloy for its global customers and the development of USA Rare Earth's ( USAR ) Oklahoma magnet facility.

The transaction is expected to close in the fourth quarter of 2025.

USA Rare Earth ( USAR ) shares were up more than 8% in recent premarket activity.
