12:28 PM EDT, 06/06/2025 (MT Newswires) -- Venus Concept ( VERO ) said Friday it entered into agreements to raise up to $3.45 million through a registered direct offering and concurrent private placement.

The company plans to sell 434,720 shares of common stock at $2.65 each in a registered direct offering, expected to close by June 9, for gross proceeds of about $1.15 million.

In a concurrent private placement, Venus Concept ( VERO ) will issue unregistered short-term warrants to purchase up to 869,440 shares at $2.65 apiece. If fully exercised for cash, the warrants could generate up to an additional $2.3 million.

The company said it intends to use the net proceeds for general corporate purposes.

Shares of Venus Concept ( VERO ) were up more than 35% in recent trading.
