08:56 AM EDT, 08/25/2025 (MT Newswires) -- Verint Systems ( VRNT ) said Monday it will be acquired by software investment firm Thoma Bravo in a $2 billion all-cash deal.
The company said shareholders will receive $20.50 per share, representing an 18% premium over its 10-day average share price before reports of a potential sale.
Verint ( VRNT ) said the deal, expected to close by the end of its current fiscal year and pending customary approvals, is not subject to a financing condition.
Following the closing, Verint ( VRNT ) said it will be taken private and delisted. It added that it is suspending earnings calls, financial guidance, and its share repurchase program due to the pending transaction.
A Thoma Bravo-controlled entity will act as the parent in a reverse-triangular merger, the company added.
