04:43 PM EDT, 03/24/2026 (MT Newswires) -- Victory Capital ( VCTR ) said Tuesday it has withdrawn its proposal to acquire Janus Henderson Group ( JHG ) .

Victory said it was "only prepared to move forward with a negotiated, consensual transaction that had the full support of the Janus Henderson Special Committee."

Earlier today, Janus Henderson ( JHG ) said Trian Fund Management and its affiliated funds and General Catalyst Fund Management and its affiliated funds have revised their acquisition offer to $52 per share in cash.

Victory shares rose 2.1% in after-hours activity, and Janus was down 1.4%.
