Zeta Global Agrees to Buy Marigold's Enterprise Software Unit

04:39 PM EDT, 09/30/2025 (MT Newswires) -- Zeta Global ( ZETA ) said late Tuesday it has agreed to acquire Marigold's enterprise software business, including Marigold Loyalty, Cheetah Digital, Selligent, Sailthru, Liveclicker and Grow, in a deal worth up to $325 million.

Proceeds will include $100 million in cash, $100 million in Zeta class A shares at closing, and a seller note of up to $125 million in cash and stock, according to a statement.

The deal, expected to close by year-end pending customary conditions, excludes Marigold's small- and medium-sized business units Campaign Monitor, Emma and Vuture, the company said.

Zeta said it expects the deal to be accretive to adjusted earnings before interest, taxes, depreciation and amortization as well as free cash flow in the first year and incremental to its long-term "Zeta 2028" growth plan.

Zeta also reaffirmed its Q3 and full-year 2025 guidance provided Aug. 5.
