04:33 PM EDT, 03/20/2026 (MT Newswires) -- Bitfarms ( BITF ) on Friday said its shareholders voted in favor of a special resolution to approve a statutory plan of arrangement involving the company and Keel Infrastructure pursuant to which the company will redomicile from Canada to the United States and rebrand as Keel Infrastructure.

At the special meeting on Friday, approximately 99.3% of votes cast were in favor of the arrangement. The U.S. Redomiciliation is expected to be completed on or about April 1, subject to obtaining court approvals, as well as the satisfaction of all other conditions, the company said. The Toronto Stock Exchange has conditionally approved the arrangement and the listing of Keel Infrastructure.

Shares of the company closed down C$0.22 to C$3.06 on Toronto Stock Exchange on Friday.
