Apr 8, 2026 5:09 AM

MIAMI, April 08, 2026 (GLOBE NEWSWIRE) -- Captivision Inc. ( CAPT ) (“Captivision” or the “Company”) , announced today that on April 7, 2026, the Company received a notice from the Nasdaq Hearings Panel (the “Panel”) that the Panel has determined to delist the ordinary shares of Captivision Inc. ( CAPT ) from The Nasdaq Global Market (“Nasdaq”) due to the Company’s failure to meet the deadline imposed in the Panel’s December 31, 2025 decision (the “Decision”). The Company had been granted an extension period by the end of which the Company was to complete the audit of its financial statements for the year ending 2024 and file the related Form 20-F Annual Report with the Securities and Exchange Commission to regain compliance with Nasdaq’s periodic filing rule.

The Company will remain publicly traded with its ordinary shares expected to trade initially on the OTC Pink Limited tier and then go into the Expert Market under the trading symbol “CAPTF,” commencing on April 9, 2026. Investors may experience reduced liquidity, less transparency and greater price volatility while the Company’s ordinary shares are traded on the OTC Expert Market.

The Company intends to complete its audited financial statements for the year ending 2024 and file its Form 20-F with the Securities and Exchange Commission to cure filing delinquency as previously announced. In addition, the Company has completed substantial due diligence and intends to complete the previously announced transformational business combination with Montana Tunnels Mining Inc. and the creation of Montana Gold Inc., a diversified gold mining growth company. The Company has commenced the evolution of its governance and management to reflect best-in-class mining industry domain expertise and experience.
