12:39 PM EDT, 08/07/2025 (MT Newswires) -- UnitedHealth Group ( UNH ) has reached a proposed settlement with the US Justice Department and several states to resolve antitrust concerns over its $3.3 billion acquisition of Amedisys ( AMED ) , the department said Thursday.
As part of the agreement, UnitedHealth ( UNH ) and Amedisys ( AMED ) must divest at least 164 home health and hospice facilities across 19 states, together generating about $528 million in annual revenue. If needed, UnitedHealth ( UNH ) may have to sell eight additional facilities to secure regulatory approval, the agency said.
The settlement also includes appointing a monitor to oversee the divestitures and ensure compliance, according to the DOJ.
Separately, Amedisys ( AMED ) will pay a $1.1 million civil penalty for falsely certifying it had fully complied with federal document requests during the merger review process. The company will also be required to provide antitrust compliance training to its leadership, the agency said.

Amedisys ( AMED ) didn't immediately reply to MT Newswires' request for comment.
