Bain Capital GSS Investment Corp. Announces Pricing of $400 Million Initial Public Offering

BOSTON--(BUSINESS WIRE)--

Bain Capital GSS Investment Corp. (the “Company”) announced today the pricing of its initial public offering of 40,000,000 units at a price of $10.00 per unit. The units will be listed on the New York Stock Exchange and trade under the ticker symbol “BCSS.U” with trading expected to begin on September 30, 2025. Each unit consists of one Class A ordinary share of the Company and one-fifth of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share of the Company at a price of $11.50 per share, subject to certain adjustments. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on the New York Stock Exchange under the symbols “BCSS” and “BCSS.W,” respectively.

The offering is expected to close on October 1, 2025, subject to customary closing conditions.

Citigroup Global Markets Inc. is acting as the sole book-running manager for the offering. The Company has granted the underwriter a 45-day option to purchase up to an additional 6,000,000 units at the initial public offering price to cover over-allotments, if any.
