05:08 PM EDT, 04/19/2024 (MT Newswires) -- Crown Castle ( CCI ) said Chief Executive Steven Moskowitz will not be included on its slate of director nominees for its 2024 annual stockholders' meeting.
The company said it made the decision even as it "vigorously" disputes the claims in a lawsuit filed by Crown Castle ( CCI ) shareholder Boots Capital Management, which is led by Ted Miller.
Miller "has again pursued a litigation strategy that is attempting to interfere with Crown Castle's ( CCI ) critical strategic and operational initiatives," Crown Castle ( CCI ) said.
Boots Capital said Tuesday that it was granted expedited discovery by the Delaware Court of Chancery to investigate a breach of fiduciary duty claim against Crown Castle's ( CCI ) board for increasing the number of board seats.
Crown Castle ( CCI ) recently expanded the size of its board to include Moskowitz.
The decision to exclude Moskowitz from the slate is intended to "avoid the distraction and expense of Ted Miller's litigation," Crown Castle ( CCI ) said.
Boots Capital did not immediately reply to MT Newswires' request for comment.
