05:01 PM EDT, 06/26/2025 (MT Newswires) -- DNOW ( DNOW ) will acquire MRC Global ( MRC ) in an all-stock transaction valued at about $1.5 billion, inclusive of MRC's debt, the companies said late Thursday.

MRC shareholders will get 0.9489 share of DNOW ( DNOW ) for each MRC stock as part of the deal to create an energy and industrial solutions provider, they said.

Upon deal completion, DNOW ( DNOW ) will own about 56.5% of the combined group and MRC shareholders the balance. The deal is expected to close in Q4.

MRC shares were rising past 14% in after-hours activity.
