05:59 PM EST, 11/13/2025 (MT Newswires) -- Graham (GHC) said late Thursday it priced a $500 million private offering of 5.625% senior unsecured notes due 2033.

The offering is expected to close on Nov. 24

Concurrently, Graham plans to amend its revolving credit facility, increasing total commitments to $400 million. The amendment is linked to the closing of the note offering, the company said.

Net proceeds from the offering, along with borrowings under the amended credit facility, will be used to redeem outstanding 5.75% notes due 2026, refinance existing revolving loans, repay a $150 million term loan facility, and cover related fees, Graham said.
