Green Dot to Be Acquired by Smith Ventures, CommerceOne Financial; Shares Rise

08:00 AM EST, 11/24/2025 (MT Newswires) -- Green Dot ( GDOT ) said Monday it has agreed to be acquired by Smith Ventures and CommerceOne Financial.

Under the terms, CommerceOne will buy Green Dot Bank and its associated assets and operations and will create a new publicly traded bank holding company, Green Dot ( GDOT ) said, with Green Dot ( GDOT ) shareholders receiving $8.11 in cash and 0.2215 shares of the new company.

In addition, Smith Ventures will acquire Green Dot's ( GDOT ) non-bank financial technology business assets and operations from CommerceOne for $690 million, with $470 million of the purchase price being distributed to Green Dot ( GDOT ) shareholders, the company said.

The transactions are expected to be completed by Q2 2026, Green Dot ( GDOT ) said.

Shares of Green Dot ( GDOT ) were up by more than 21% in recent Monday premarket activity.
