06:35 AM EDT, 06/03/2025 (MT Newswires) -- Keysight Technologies ( KEYS ) said Tuesday it reached an agreement with the US Department of Justice regarding its proposed acquisition of Spirent Communications.

As part of the agreement, Keysight ( KEYS ) and Spirent will divest Spirent's high-speed Ethernet, network security, and channel emulation units to VIAVI (VIAV) or another DOJ-approved buyer, Keysight ( KEYS ) said.

The companies also signed a proposed final judgment, an asset preservation order, and a side letter, the company said.

Keysight ( KEYS ) also said it is continuing to seek antitrust clearance from Chinese regulators with Spirent's support.

The divestiture remains subject to regulatory approvals and will close shortly after the acquisition takes effect, Keysight ( KEYS ) added.

The company said it expects the Spirent deal to close by the end of its fiscal Q3 ending July 31.
