Nasdaq Increases Tender Caps, Prices Cash Tender Offers for 2028, 2052 Notes

03:14 PM EST, 12/15/2025 (MT Newswires) -- Nasdaq (NDAQ) said Monday that it has priced and accepted its cash tender offers for its 5.350% Senior Notes due 2028 and 3.950% Senior Notes due 2052, after raising the maximum principal amounts eligible for purchase.

The company increased the caps for its tender offers to $83 million for the 2028 Notes, and $16.7 million for the 2052 Notes, up from $80 million and $10 million, respectively.

The total consideration per $1,000 principal, including a $30 early tender premium, is $1,033.67 for the 2028 Notes and $777.38 for the 2052 Notes, the company said.

The tender offers run through Dec. 30, unless extended, it added.
