07:58 AM EST, 11/07/2025 (MT Newswires) -- Organon (OGN) said Friday it has agreed to sell its Jada System to Laborie Medical Technologies for up to $465 million.

Under the transaction, Laborie will pay $440 million at closing and up to $25 million on achieving certain 2026 revenue targets, the company said.

About 100 employees are expected to transfer to Laborie as part of the transaction, which is expected to close in Q1 2026, Organon said.

Net proceeds from the transaction will be used to reduce debt, the company said.

Shares of Organon were up 2.2% in recent Friday premarket activity.
