SBC Medical Launches Tender Offer for Waqoo at Roughly $12.30 a Share

04:58 AM EST, 11/13/2025 (MT Newswires) -- SBC Medical Group ( SBC ) said Thursday it will launch a 1,900 Japanese Yen ($12.30) per share tender offer for Waqoo in Japan starting Friday.

The offer runs through Dec. 12 for up to 575,000 shares, with settlement slated for Dec. 19 and a possible extension to Dec. 26 that would settle Jan. 7, 2026, the company said.

Separately, SBC will buy the chairman's 989,802 Waqoo shares off-market, at a related-party price below the tender offer that is contingent on the tender closing, SBC said.

SBC's unit already holds 353,600 Waqoo shares and aims to fold Waqoo's technology into SBC's clinic network to accelerate product development, the company added.
