T-Mobile US ( TMUS ) said Friday it has completed the acquisition of Array Digital Infrastructure's (USM) wireless operations and certain spectrum assets.
T-Mobile US ( TMUS ) in May 2024 signed a deal with United States Cellular ( USM ), now operating as Array Digital Infrastructure, and Telephone and Data Systems ( TDS/PV ) to buy United States Cellular's ( USM ) wireless operations and certain spectrum assets for $4.40 billion. Array will change its ticker on the NYSE to "AD" from "USM" on Aug. 12.
Consideration received was $4.30 billion after adjustments, including $2.60 billion in cash and about $1.70 billion in debt, Array Digital Infrastructure and Telephone and Data Systems ( TDS/PV ) said Friday.
The companies also said T-Mobile US ( TMUS ) signed a 15-year master license agreement to serve as a long-term tenant on at least 2,015 Array Digital Infrastructure-owned towers.
Array Digital Infrastructure will also extend the lease term for about 600 towers where T-Mobile US ( TMUS ) is already a tenant, they added.
Telephone and Data Systems ( TDS/PV ), Array Digital Infrastructure, and T-Mobile shares were down 2.4%, 1.6%, and 0.1%, respectively, in recent trading.
