Prior to the Acquisition, Valsecchi beneficially owned an aggregate of 53.55-million shares of the company, representing approximately 12.54% of the issued and outstanding common shares on a non-diluted basis.

Prior to the acquisition, Valsecchi Immobilien AG owned an aggregate of 6-million shares of the company, representing approximately 1.40% of the issued and outstanding common shares on a non-diluted basis.

As a result of the acquisition, Valsecchi now directly or indirectly, beneficially owns 60.75-million common shares, representing approximately 14.22% of the issued and outstanding common shares of the ocmpany on a non-diluted basis.
