08:14 AM EST, 11/21/2025 (MT Newswires) -- Xoma Royalty ( XOMA ) said Friday that it has completed its acquisition of all shares of Lava Therapeutics ( LVTX ) for a nominal value of 0.12 euro ($0.14) per share.

As of Thursday, a total of 24 million shares or 91.1% of shares outstanding were validly tendered, Xoma said.

Lava shareholders received $1.04 in cash per share and a non-transferrable contingent value right per share to receive cash payments from net proceeds of sales, licensing fees, and the closing of potential liabilities, Xoma said.

Trading of Lava shares has been suspended, and Lava plans to promptly delist and deregister such shares from Nasdaq, Xoma said.
