07:38 AM EDT, 06/30/2025 (MT Newswires) -- Zscaler ( ZS ) said Monday it plans to offer $1.5 billion worth of convertible senior notes due 2028 in a private offering.
The information security company said it will grant the initial purchasers of the notes a 13-day option to purchase up to an additional $225 million worth of the notes.
Net proceeds from the offering will be used to pay for capped call transactions related to the offering. The remaining proceeds will be used for general corporate purposes, such as working capital, capital expenditures, as well as acquisitions and strategic transactions.
Shares of the company fell more than 3% in recent pre-bell activity Monday.
