09:51 AM EDT, 09/20/2024 (MT Newswires) -- Kroger ( KR ) said Friday it has extended the deadline for an offer to exchange all outstanding Albertsons' ( ACI ) notes for new Kroger ( KR ) notes by four days until 5 pm ET on Sept. 27.

Kroger ( KR ) said the extension is related to its offer to exchange up to $7.44 billion of Albertsons ( ACI ) notes for new Kroger ( KR )-issued notes and cash, as well as consents to proposed amendments to the Albertsons ( ACI ) notes' governing documents.

The amendments will take effect once the exchange offers settle, which is expected to take place after the new expiration date, according to Kroger ( KR ).

The company said the exchange offers and consents are subject to certain conditions, including completion of a merger between the two companies. Kroger ( KR ) also said that the completion of the merger is not dependent on the completion of the exchange offers or consent solicitations.
