Marathon Digital Holdings Inc ( MARA ) shares are trading lower. The company on Monday announced a proposed private offering of convertible senior notes.

What Happened: Bitcoin (CRYPTO: BTC) mining company Marathon Digital ( MARA ) said it intends to offer $250 million worth of convertible senior notes due 2031 in a private offering to institutional buyers. The company expects to grant the initial purchasers a 13-day option to purchase up to an additional $37.5 million of the notes.

The notes will be unsecured, senior obligations and bear interest payable semi-annually on March 1 and Sept. 1 of each year. Holders of the notes will have the right to require Marathon Digital ( MARA ) to repurchase for cash all or any portion of their notes on March 1, 2029.

Marathon Digital ( MARA ) said it intends to use the net proceeds from the sale to acquire additional Bitcoin, as well as for general corporate purposes. As of July 31, Marathon Digital ( MARA ) held a total of 20,818 unrestricted Bitcoin.
