Aeluma Announces Proposed Public Offering of Common Stock

GOLETA, Calif., Sept. 17, 2025 (GLOBE NEWSWIRE) -- Aeluma, Inc. ( ALMU ) (“Aeluma” or “the Company”), a transformative semiconductor company specializing in high performance and scalable technologies, today announced that it intends to offer and sell shares of its common stock in an underwritten public offering. In connection with the offering, Aeluma ( ALMU ) also expects to grant the underwriter a 30-day option to purchase up to an additional 15% of the shares of common stock offered in the public offering. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. 

Craig-Hallum is acting as the sole book-running manager for the offering.

Aeluma ( ALMU ) expects to use the net proceeds of the offering, for expanding business development efforts, advancing manufacturing processes to support commercialization traction, and working capital and general business purposes.

The offering is being made pursuant to a shelf registration statement on Form S-3 , as amended, including a base prospectus, relating to the shares of common stock to be issued in the proposed offering was initially filed with the Securities and Exchange Commission (the “SEC”) on July 31, 2025 and was declared effective on August 8, 2025.
